Welcome to Daybook. By using our service, you agree to these terms. Please read them carefully before creating an account or using any of our services.
1. Acceptance of Terms
By accessing or using Daybook ("the Service"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing the Service. These terms apply to all visitors, users, and others who access or use the Service.
2. Description of Service
Daybook is a cloud-based invoicing and client management platform designed for service-based businesses. The Service includes, but is not limited to:
- Invoice creation and management
- Estimate generation and tracking
- Time tracking and reporting
- Client relationship management
- Appointment scheduling and booking
- Online payment processing via Stripe
3. Account Terms
3.1 Account Registration
You must provide accurate, complete, and current information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
3.2 Account Security
You must immediately notify us of any unauthorized access to or use of your account. We are not responsible for any loss or damage arising from your failure to comply with this security obligation.
3.3 Eligibility
You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements.
4. Payment Terms
4.1 Pricing and Plans
Daybook offers multiple subscription tiers including a Free tier, Solo tier, and Team tier. Prices are listed in Canadian dollars (CAD) and may be subject to applicable taxes. We reserve the right to change pricing with 30 days notice to subscribers.
4.2 Platform Fee
Users on the Free tier are subject to a 1% platform fee on payments processed through Daybook. This fee is deducted from received payments. Paid tier users have no platform fee.
4.3 Billing
Subscription fees are billed in advance on a monthly or annual basis. Your subscription will automatically renew unless you cancel before the renewal date. All fees are non-refundable except as expressly stated in these terms.
4.4 Refunds
Monthly subscriptions are non-refundable. Annual subscriptions may be refunded on a prorated basis within the first 30 days. Refund requests must be submitted to [email protected].
5. Acceptable Use
You agree not to use the Service to:
- Violate any laws or regulations
- Engage in fraudulent or deceptive activities
- Send spam or unsolicited communications
- Transmit viruses, malware, or other harmful code
- Attempt to reverse engineer, decompile, or hack the Service
- Harass, abuse, or harm other users or our staff
6. Intellectual Property
6.1 Our Ownership
The Service, including all content, features, and functionality, is owned by Daybook and protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.
6.2 Your Content
You retain ownership of all content you upload to the Service. By uploading content, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service to you.
7. Data and Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy. We take data security seriously and implement industry-standard security measures to protect your information.
8. Third-Party Services
The Service integrates with third-party services that have their own terms and privacy policies:
- Stripe for payment processing (stripe.com/legal)
- QuickBooks for accounting synchronization (quickbooks.intuit.com/terms)
- Twilio for SMS notifications (twilio.com/legal)
9. Disclaimer of Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
10. Limitation of Liability
To the maximum extent permitted by law, Daybook shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or relating to your use of the Service, even if we have been advised of the possibility of such damages.
11. Indemnification
You agree to indemnify and hold harmless Daybook, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service or violation of these terms.
12. Termination
12.1 Termination by You
You may cancel your subscription and terminate your account at any time through the Settings page or by contacting support. Upon termination, you will retain access until the end of your current billing period.
12.2 Termination by Us
We may suspend or terminate your account immediately if you violate these terms, engage in fraudulent activity, or for any other reason at our sole discretion with reasonable notice.
12.3 Effect of Termination
Upon termination, your right to use the Service will cease immediately. You may export your data for up to 30 days following termination. After this period, your data may be permanently deleted.
13. Governing Law
These terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising from these terms or the Service shall be resolved in the courts of Ontario, Canada.
14. Changes to Terms
We reserve the right to modify these terms at any time. We will notify you of material changes via email or through the Service at least 30 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the new terms.
